Quasit — QuickBooks Online Integration

This Agreement governs use of the Quasit software (the "Software") as it
connects to QuickBooks Online.
The Software is private, internal-use software developed and operated by
Jerry Partners LLC solely for the administration of its own books and records.
It is not distributed, sold, licensed, or made available to any third party,
and it has no users other than the members and authorized personnel of
Jerry Partners LLC.
Jerry Partners LLC retains all rights in the Software. No license is granted to
any third party. Access is limited to the members of Jerry Partners LLC and to
personnel they expressly authorize, such as an engaged accountant.
The Software connects to the QuickBooks Online company owned by Jerry Partners
LLC in order to read accounting records and, where explicitly enabled, to record
bookkeeping entries that a human user has reviewed and approved.
The Software is used only for the internal accounting, reporting, and business
administration of Jerry Partners LLC.
Use of the Software in connection with QuickBooks Online is additionally subject
to Intuit's own terms of service and to the scopes granted during OAuth
authorization. Nothing in this Agreement modifies or supersedes those terms.
Authorization may be revoked at any time from the QuickBooks Online account
under Settings → Apps → Connected apps, which immediately ends the
Software's access.
The Software is a recordkeeping and analysis tool. It does not provide tax,
legal, accounting, or financial advice. Output is subject to review by the
authorized users and, where applicable, by a licensed professional. Users remain
solely responsible for the accuracy of their books and for all tax and
regulatory filings.
The Software is provided "as is," without warranty of any kind, express or
implied, including any implied warranty of merchantability, fitness for a
particular purpose, or non-infringement.
To the maximum extent permitted by law, Jerry Partners LLC shall not be liable
for any indirect, incidental, special, consequential, or punitive damages
arising out of use of the Software. Because the Software is used exclusively by
its own developer and owner, no third-party reliance is contemplated or
permitted.
This Agreement is governed by the laws of the State of Montana, without regard
to conflict of law principles.
